* CORPORATE "RESPONSIBILITY" *

We admit that our industry is inherently irresponsible, but hey, the
state of Virginia sanctioned our killing up to 5 million people
worldwide annually, so we can't be all that bad! Nevertheless, a little
positive PR never hurts.  That's why we've become one of the primary
benefactors of Forlorn Faces orphanage.  As we like to say "We don't
just build the orphanage...we fill it too!"

* LICENSED TO KILL GOES TO HOLLYWOOD *

This past year we have also worked hard through third party agents to
get more of our products in Hollywood movies. Our industry=92s efforts
seem to be paying off.  Film stars smoke in a majority of youth-rated
movies!

* LETHAL LOBBYING EFFORTS *

Licensed to Kill recognizes the value of face-to-face lobbying.  In
August 2003, several L2K execs attended the 12th World Conference on
Tobacco or Health, along with a number of British American Tobacco
employees.

While conference attendees seemed to appreciate our company's brutal
honesty about our deadly line of products, a bunch of annoying youth
held a demonstration against our industry. Perhaps our industry needs to
start funding more youth programs =96 maybe that would truly silence the
kids.

And in Boston 2003, we hit the National Conference on Tobacco or Health
in Boston, our Licensed to Kill cigarette pack mascot in tow.

Unfortunately, the security guards tried to violate our corporate right
to free speech and nearly succeeded in kicking us out!

But our most important lethal lobbying took place at two separate
international trade negotiations...

In September 2003, our Senior VP of Corporate Communications attended
the World Trade Organization Negotiations in Cancun, Mexico, where she
lobbied country delegates to put trade over health.

And in November 2003, L2K execs attended the Free Trade Agreement of the
Americas in Miami, FL and urged delegates NOT to exempt tobacco from the
FTAA.  As a L2K press release explained, "Tobacco is really no different
than milk, carrots, or tea -- it just kills a few more million people
around the world annually, if consumed as intended...Indeed tobacco is a
commodity just like any other.  It is our corporate right, in a global
free market economy, to sell death if we choose."

Lastly, our company believes that in addition to fighting those who seek
to hurt our business, it is important to recognize those who do our
industry favors, such as Utne Reader, which earlier this year decided to
reverse its long policy against accepting tobacco advertising. In a
letter to the magazine, our CEO wrote:  "For many years, your magazine
has shamefully denied tobacco companies like ours our constitutional
right to free speech.  Perhaps it is these patriotic times that have
inspired you to champion the true "American Spirit," the freedom to
advertise, hoodwink, and even kill in the name of the Almighty Buck..."
Regrettably, so many of those annoying youth tobacco control advocates
wrote the magazine that it decided to switch back to its old, misguided
"no tobacco ads" policy.


3. QUESTIONS & COMMENTS

Licensed to Kill Execs field numerous questions and comments from
stockholders.  Many stockholders praised the company for success in
selling death around the world. Some made suggestions for new business
ventures the company might launch.

Other stockholders had clearly obtained stock in a futile attempt to
negatively influence our company=92s efforts to expand globally.  One
na=EFve stockholder asked CEO Rich Fromdeth how he sleeps at night? (Very
well, thanks!)

And a representative of the =93corporate accountability=94 group Infact
presented lengthy comments about tobacco industry influence in the
Framework Convention on Tobacco Control, before CEO Rich Fromdeth
finally interrupted and asked her to get to the point. Ah, some
stockholders can be such a pain in the you know what!

4. BUSINESS OF THE MEETING

* ELECTION OF DIRECTORS *

Licensed to Kill=92s Board of Directors felt that the corporation would
benefit from an expansion of the board.  In addition to calling on
stockholders to re-elect the current board of directors (Rich Fromdeth,
Core Prutspin, and James Loves Munnee), the board asked stockholders to
elect 10 new directors with extensive experience in making a killing
worldwide, none other than Altria=92s board of directors!

A number of Altria=92s board were on hand to give brief presentations to
stockholders on their qualifications to lead a company that aims to
profit off of killing 4.9 million worldwide annually.

Altria Director Lucio A. Noto informed L2K stockholders of his extensive
experience in the oil industry (Exxon Mobil Corporation), where he
gained experience fighting international treaties, such as the Kyoto
protocol.

Altria Director Elizabeth E. Bailey, a Professor of Business and Public
Policy at University of Pennsylvania=92s Wharton School, has good
connections as a trustee of The Brookings Institute and the National
Bureau of Economic Research.

Altria Director Thomas W. Jones is the Chairman and CEO of Global
Investment Management of Citigroup, Inc.  He also currently serves as a
director of Fox Entertainment Group Inc. Ties to major media never hurt!

* SELECTION OF INDEPENDENT AUDITORS *

Licensed to Kill=92s original proposal of Arthur Anderson was rejected,
since the corporate auditor unfortunately no longer exists. The company
instead proposed the selection of Altria=92s auditor,
PriceWaterhouseCoopers.


* STOCKHOLDER PROPOSALS *

Stockholders submitted six proposals for a vote.  Three were STRONGLY
OPPOSED by the company:

Proposal 1*: Ways of more adequately warning pregnant women (of the
harms of tobacco to themselves and the fetus). Presented by a
=93representative=94 of the Sisters of Charity of Saint Elizabeth

Proposal 3*: Political disclosure resolution

Proposal 5*: Cease promoting light and ultralight brands

And three were STRONGLY FAVORED by the company:

Proposal 2: Hire a third party agent to get more of our product being
used in Hollywood films

Proposal 4: Commission a study on which countries in Africa, Asia, Latin
America, and Eastern/Central Europe would be friendliest to our overseas
expansion and offer best access to the next generation of smokers

Proposal 6: Hire a lobbyist to look into tax breaks from the
Commonwealth of Virginia, similar to those granted Altria.

5. REPORT OF THE INSPECTORS OF ELECTION

Stockholders approved selection of PriceWaterhouseCoopers as independent
auditor.

Licensed to Kill=92s Board of Directors was re-elected.  Election of
Altria Directors was also approved, but CEO Rich Fromdeth said that a
final decision and formal invitations would be put on hold, pending a
favorable review of the Altria Directors =93in action=94 at Altria=92s Annu=
al
Meeting of Stockholders the next day.

Stockholders voted overwhelmingly AGAINST the three stockholder
proposals opposed by Licensed to Kill, and voted overwhelmingly FOR the
three stockholder proposals favored by the corporation.


ROWDY YOUTH GET THROWN OUT OF MEETING BY SECURITY GUARDS

At several points during the meeting, young =93stockholders=94 became
disruptive, publicly disagreeing with CEO Rich Fromdeth and shouting
hostile chants.  Luckily, Licensed to Kill security guards were on hand
to physically remove the rowdy youth from the premises!


HAPPY BIRTHDAY LICENSED TO KILL!

The meeting ended with an acknowledgement of the corporation's one year
anniversary and closing comments by CEO Rich Fromdeth regarding the
importance of putting =93profits over people.=94
