To plagiarize another Hague Convention watcher:


The proposed Hague Convention exclusively /caters/ for [big businesses] 
contracts, but /covers/ ALL but very rare "pure"consumer and employee 
contracts (i.e. it covers also non-negotiated contracts) "entered or 
evidenced a) in writing ; or b) by any other means of communication 
which renders inforamtion accessible so as to be usabe for subsequent 
reference" (see Article 2 Paragraph 3 of draft).
The Hague drafters stated that they want to avoid validity issues 
relating to contract formation...so shrink wrap, click-on contract 
between, let's say, a teacher buying Microsoft are covered.
