Dear Colleagues,

Tuesday February 4, 2003, 4 to 6:30pm 4th Conference call about the 
UNCITRAL e-contracting convention.  The agenda covers article 8-15 
(Chapter 3).  The 2 following articles might raised interesting issues 
for consumers:

Article 9 "Invitation to make offers"
Issues include differences between an offer and an "invitation to make 
an offer."  As we've seen recently in the news an offer of goods and 
services thru the internet is not always a binding offer (see Amazons, 
Starwood) and it is reflected in paragraph 1 of the article.  There 
might be some different treatment for virtual goods when "negotiation" 
is immediatly followed by conclusion of the contract and performance.

Article 10 "uses of datas messages in contract formation"
First issue is the validity of some expression of consent.  Will 
"touching or clicking on an appropriately designed icon or place on a 
computer screen" be considered as an expression of consent (as in one of 
the model "the Uniform Electronic Act of Canada")? However, since the 
Working Group wants to be "technologically neutral" we might not talk 
about whether clicking on "I agree" will be an expression of consent.

Hi Everyone.  During the last Teleconference, we had set several 
dates for follow-up sessions.  The first is this Tuesday, 4 February 
2003, from 4:00 PM to 6:30 PM EST in the U.S.A.  We will have the 
call-in number and passcode available tomorrow.  If you send an email 
to me (wjl@rh.edu), I will forward this information to you.

As for the agenda, we expect to continue the discussion of the 
electronic contracting convention project.  The Secretariat at 
UNCITRAL is in the process of completing a revised draft of the draft 
convention but it will probably not be available for official 
distribution until the end of March.  Nevertheless, there is much 
work to be done and it may be possible to provide some input on the 
revised draft to the Secretariat as a result of the Teleconference 
discussions.

The focus of the discussion will be Articles 8-15.  If there is time, 
we may be able to return Article 7  on the location of the parties. 
The text may be found as an Appendix to WP. 95 which can be accessed 
directly at

For future planning purposes, the next Teleconference is tentatively
