Bob Lande said that perhaps Exxon would rather buy reserves than explore for more oil. If that is their motivation, it would not anti-competitive. A transaction that transfers assets from low value users to higher value users is efficiency enhancing. If it is cheaper to buy reserves than hunt for them, efficiency is served by buying.
